    Best For : Startups seeking venture capital or planning an eventual public offering.

    The Strategy: The standard for high-growth tech and VC-backed companies. It provides limited liability for owners and a well-established body of case law, offering predictability for investors. It allows for multiple classes of stock

    The Trade-off: Requires strict adherence to corporate formalities, including mandatory annual meetings. Revenue is subject to "double taxation"—taxed at the corporate level, and again when distributed to shareholders as dividends.

  • S-Corporation

    Best For : Profitable small-to-medium businesses seeking tax efficiency.

    The Strategy: Offers the limited liability of a corporation combined with highly favorable "pass-through" tax treatment, avoiding the double taxation of a C-Corp.

    The Trade-off: Governed by strict IRS restrictions. You are limited to a maximum of 100 shareholders, all owners must be U.S. citizens or permanent residents, and you may only issue one class of stock. Like a C-Corp, you must maintain full corporate formalities.
